This document is an electronic record under the Information Technology Act, 2000 and rules thereunder, including the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. This electronic record is generated by a computer system and does not require any physical or digital signatures.
This User Agreement (“Terms”) is a legally binding contract between Nyāya Studio (hereinafter referred to as the “Company”, “We”, “Us”, or “Our”), and you (“User”, “End User”, “Customer”, or “Buyer”). By accessing, browsing, or purchasing from this Website, you agree to be bound by these Terms and our Privacy Policy.
The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

1. ELIGIBILITY, REGISTRATION & ADMINISTRATIVE COMMUNICATION

    • Capacity to Contract: By using this Website, you represent that you are at least 18 years of age and competent to contract under the Indian Contract Act, 1872. If you are a minor, you may only use this Website under the supervision of a parent or legal guardian.
    • Account Accuracy: You agree to provide true, accurate, and complete information during registration. Providing false details or maintaining an account for deceptive purposes may result in the immediate termination or permanent blocking of your access.
    • Credential Security: You are solely responsible for maintaining the confidentiality of your account credentials (User ID and Password) and for all activities that occur under your account. Your submission of personal information through the store is governed by our Privacy Policy.
    • Administrative & Promotional Alerts: As a condition of purchase, the Site requires your permission to send you administrative and promotional communications. We will send you information regarding your account activity and purchases, as well as updates about our products and promotional offers. You can opt-out of our promotional emails anytime by clicking the unsubscribe link at the bottom of our correspondences.
    • Promotional Message Discretion: The offers made in any promotional messages sent via emails, SMS, or WhatsApp shall be subject to change at the sole discretion of Nyāya Studio, and we are under no obligation to provide prior notice regarding such adjustments.

2. PRODUCT REPRESENTATION, INACCURACIES & HANDCRAFT DISCLAIMER

    • Digital Displays: We make every effort to display the colors, textures, and details of our apparel as accurately as possible. However, variations in color may occur due to individual monitor/screen settings.
    • Handcrafted Nature: Nyāya Studio specializes in curated garments. Slight variations in weave, shade, stitching, embroidery, or fabric texture are inherent characteristics of natural materials and handcrafted processes. These variations do not constitute manufacturing defects.
    • Sizing & Care: It is your responsibility to consult our Size Guide before purchasing. We are not liable for structural damage, shrinkage, or color bleeding caused by a failure to follow the explicit wash-care instructions provided on the garment label.
    • Inaccuracy Disclaimer: From time to time there may be information on our Website that may contain typographical errors, inaccuracies, or omissions that may relate to product descriptions, pricing, and availability. Nyāya Studio reserves the right to correct any errors, inaccuracies, or omissions and to change or update information at any time without prior notice.

3. PRICING  & BILLING

    • Maximum Retail Price (MRP): All prices listed on the Website are inclusive of all local taxes applicable within India. Shipping and delivery fees are calculated and displayed dynamically at checkout based on the destination.
    • Order Rejection: We reserve the right to limit quantities or cancel any order at our sole discretion. If we cancel or modify an order, we will attempt to notify you via the email or phone number provided during checkout.

4. INTELLECTUAL PROPERTY RIGHTS

    • Proprietary Rights: Unless explicitly stated otherwise, Nyāya Studio owns all rights, titles, and interests in the Website's assets—including but not limited to clothing designs, patterns, text, graphics, logos, images, audio/video clips, and code.
    • Restricted Use: You are granted a limited, non-exclusive, non-transferable license to access the Website for personal, non-commercial use. You must not copy, reproduce, modify, distribute, or exploit our original apparel designs or digital content for commercial gain without explicit written consent.

5. USER COMMENTS, FEEDBACK & SUBMISSIONS

    • License to Comments: If, at our request, you send certain specific submissions (for example contest entries) or without a request from us you send creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, by postal mail, or otherwise (collectively, 'comments'), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate, and otherwise use in any medium any comments that you forward to us. 
    • Our Rights Regarding Comments: We are and shall be under no obligation:
        1. To maintain any comments in confidence;
        2. To pay compensation for any comments; or
        3. To respond to any comments.
    • Content Monitoring: We may, but have no obligation to, monitor, edit or remove content that we determine in our sole discretion is unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable or violates any party’s intellectual property or these Terms of Use.
    • User Responsibility for Comments: You agree that your comments will not violate any right of any third-party, including copyright, trademark, privacy, personality, or other personal or proprietary right. You further agree that your comments will not contain libelous or otherwise unlawful, abusive, or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Website. You may not use a false e-mail address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any comments. You are solely responsible for any comments you make and their accuracy. We take no responsibility and assume no liability for any comments posted by you or any third-party. 

6. PROHIBITED CONDUCT

You undertake and agree not to host, display, upload, modify, publish, transmit, update, or share any information on the Website that:
    • Belongs to another person and to which you do not have any right.
    • Is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, pedophilic, libelous, invasive of another’s privacy, hateful, racially or ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever. 
    • Harms minors in any way. 
    • Infringes any patent, trademark, copyright, or other proprietary rights. 
    • Violates any law for the time being in force. 
    • Deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature. 
    • Impersonates another person. 
    • Contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer resource. 
    • Threatens the unity, integrity, defense, security, or sovereignty of India, friendly relations with foreign states, or public order, or causes incitement to the commission of any cognizable offense, or prevents investigation of any offense, or is insulting any other nation. 

7. RETURNS, EXCHANGES & REFUNDS

    • Policy Governance: All purchases are governed by our Shipping & Returns Policy. 
    • Defect Reporting: Defective or damaged items must be reported to our team within 7 days of delivery, supported by photographic or video proof of the defect. Upon verification, Nyāya Studio will issue a replacement, repair, or full refund at our discretion.

8. FRAUDULENT TRANSACTIONS & CASH ON DELIVERY (COD) POLICY

    • Account Monitoring: Nyāya Studio reserves the right to monitor user accounts, purchase history, and delivery patterns. If a user is found to have a high rate of order rejections, fake delivery addresses, or suspicious payment patterns, we reserve the right to flag the account as “Fraudulent."
    • COD Verification & Restrictions: To mitigate Cash on Delivery (COD) failures, Nyāya Studio may require a phone call, WhatsApp confirmation, or a small partial prepaid deposit before processing a COD order. We reserve the absolute right to disable the COD option for any specific user profile or geographical pin code based on prior historical data or logistics vulnerabilities.
    • Recoveries for Fake Orders: Placing an order with no intention of accepting it causes direct financial loss to us via forward and return shipping charges (RTO charges). In cases of deliberate and systemic fraudulent ordering, Nyāya Studio reserves the right to suspend the account permanently and seek civil damages or legal recourse under applicable laws.

9. ANTI-COUNTERFEITING & UNAUTHORIZED SALES POLICY

    • Authorized Channels Only: Authentic products designed and manufactured by Nyāya Studio are sold exclusively on our official Website www.nyayastudio.com and/or at our authorized flagship retail storefronts or pop-ups. We do not authorize resale on third-party multi-brand marketplaces (like Amazon, Flipkart, Myntra, etc.) unless expressly stated in writing.
    • Prohibition on Commercial Reselling: Purchases made on this website are strictly for personal use. Users are expressly prohibited from purchasing our apparel in bulk for the purpose of commercial resale, alteration, or rebranding under another label.
    • Enforcement Against Infringement: We actively monitor digital platforms for counterfeit goods and copies of our copyrighted textile patterns, silhouettes, or trademarks. Unauthorized use of our brand assets or passing off imitation apparel as genuine Nyāya Studio products will meet with immediate legal action, including cease-and-desist notices and claims for damages.

10. SOCIAL MEDIA & CONTENT USAGE

    • Brand Asset Protection: All marketing campaigns, studio photographs, lookbooks, graphics, and text published on our official social media channels (including but not limited to Instagram, Facebook, LinkedIn, and Pinterest) are the intellectual property of Nyāya Studio.
    • Permitted User Sharing: We love when you share your style! Customers are welcome to repost our media for personal, non-commercial use, provided that Nyāya Studio is clearly credited or tagged (@nyayastudio).
    • Prohibited Digital Use: You may not use our brand media, campaign imagery, or logo for paid advertisements, commercial promotions, or to falsely imply an endorsement, partnership, or sponsorship with your personal brand or third-party businesses without a formal written agreement from us.

11. USER-GENERATED CONTENT RIGHTS

    • License to Tagged Content: When you publicly post photos or videos wearing Nyāya Studio apparel and tag our official handle (@nyayastudio), you grant us a royalty-free, non-exclusive license to repost, share, or display that content on our official social media channels, website, or email newsletters.
    • Commercial Campaigns: Any formal influencer collaborations, paid promotions, or PR gifting arrangements are governed exclusively by separate, private agreements between the Company and the creator.

12. THIRD PARTY LINKS

    • No Affiliation: Certain content, products, and services available via our Service may include materials from third-parties. Third-party links on this site may direct you to third-party websites that are not affiliated with us. 
    • Limitation of Liability: We are not responsible for examining or evaluating the content or accuracy, and we do not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or services of third-parties. 
    • Transaction Caution: We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Please review carefully the third-party's policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third-party.

13. LIMITATION OF LIABILITY & "AS IS" WARRANTY

    • As-Is Basis: This Website and all products sold through it are provided on an "as is" and "as available" basis, unless specified otherwise in writing.
    • Liability Cap: Nyāya Studio makes no implied warranties of merchantability or fitness for a specific purpose. To the maximum extent permitted by Indian law, our total liability for any claim arising out of a purchase shall not exceed the actual purchase price paid for the specific product in question.

14. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Nyāya Studio, its proprietor, employees, and affiliates from any third-party claims, liabilities, damages, losses, or expenses (including reasonable attorney fees) arising from your breach of these Terms, violation of any law, or infringement of intellectual property rights.

15. BREACH & SUSPENSION

    • Immediate Restrictions: In the event you are found to be in breach of these Terms of Use, the Privacy Policy, or other rules and policies, or if we are unable to verify or authenticate any information you provide, or if it is believed that your actions may cause legal liability for you, other users, or us, we may, without prior notice, immediately limit your activity, remove your information, temporarily/indefinitely suspend or terminate or block your membership, and/or refuse to provide you with access to this Website.
    • Reinstatement Restriction: Any user that has been suspended or blocked may not register or attempt to register with us or use the Website in any manner whatsoever until such time that such user is reinstated explicitly by us.
    • Legal Recovery: Notwithstanding the foregoing, if you breach the Terms of Use or Privacy Policy, we reserve the right to recover any amounts due and owing by you to us and to take strict legal action. 

16. FORCE MAJEURE

Nyāya Studio shall not be held liable or responsible for any delay, failure to deliver, or non-performance of our obligations caused by events beyond our reasonable control. This includes acts of God, war, civil unrest, strikes, government restrictions, lockdowns, pandemics, natural disasters, or systemic carrier/logistical delays.

17. SEVERABILITY & WAIVER

    • Severability: In the event that any provision of these Terms of Use is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms. Such determination shall not affect the validity and enforceability of any other remaining provisions. 
    • No Waiver: The failure of Nyāya Studio to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision, or of the right at any subsequent time to enforce all Terms and Conditions of this agreement.

18. ENTIRE AGREEMENT

These Terms of Use and any policies or operating rules posted by us on this Website or in respect to the services rendered constitute the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Use). Any ambiguities in the interpretation of these Terms of Use shall not be construed against the drafting party.

19. DISPUTE RESOLUTION & GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of India. In the event of any dispute or claim, the parties must first attempt to resolve the matter amicably through direct, good-faith negotiations within thirty (30) days of written notice. If negotiations fail, the dispute shall be submitted to mutually agreed private mediation in Chennai, failing which within forty-five (45) days, the matter shall be referred to binding arbitration by a sole arbitrator in Chennai under the Arbitration and Conciliation Act, 1996. Subject to this layered resolution process, any residual legal proceedings or requests for interim relief shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu.
